Hugh L. Hyde,
Principal
Mr. Hyde is a founding principal of Gulf Capital Partners, Inc. His professional background in
accounting and banking provides a unique combination of experience when combined with his
activities in mergers and acquisitions and corporate finance. During his career, Mr. Hyde has
introduced and recommended numerous merger partners.
- Mr. Hyde is a Certified Public Accountant having received his degree in Accounting from
Arkansas State University in 1965 whereupon he joined KPMG Peat Marwick, LLP (KPMG) in
its Little Rock, Arkansas office where he worked in a variety of industries. In 1976, he
transferred to Houston, Texas where he concentrated on bank clients.

In 1981, Mr. Hyde was named Southwest Region Bank Practice Director and Associate SEC
Reviewing Partner, positions he retained until his retirement from KPMG in early 1993. As a
result of the financial troubles suffered by Southwest Region banks, he developed skills in the
area of business consulting for restructuring troubled financial institutions and their customers.
His work with troubled companies and the consolidation of the financial industry enabled him to
become involved with numerous merger and acquisition assignments and to participate in
developing the concept of special purpose entities for dealing in distressed assets. This
experience led to significant work on corporate restructuring.

Upon his retirement from KPMG, he became a Stockholder, Director and President of Texas
Capital Bancshares, Inc. In addition to his duties as President, he supervised the credit function
and resolved workouts of distressed loans through negotiated settlements.

In September, 1994, Mr. Hyde left Texas Capital and formed a financial consulting business.
Most notably, he served as a financial advisor to the merger of J-HAWK Corporation, a
distressed asset company, into First City Bancorpation, a former bank holding company that was
in Chapter 11 bankruptcy. This created FirstCity Financial Services, a publicly held company
now engaged in the distressed asset business. Mr. Hyde served as a member of the Board of Trustees of
AG Series Trust, a publicly held variable annuity trust from its inception until its merger.
